Company Secretary

Our client is a leading American investment company with nearly $95 billion of assets under management. They employ more than 500 employees around the globe and is headquartered in New York. They are currently looking to recruit an additional person in the team due to growth in their activity.
The suitable candidate needs to have an in-depth knowledge of the Luxembourg Company laws, have a ‘can do’ attitude and the aptitude of working within a fast-paced environment.

• Incorporate new entities: drafting documents, following up signatures, liaising with third parties, etc.
• liquidate existing entities when needed
• organise board meetings and shareholder meetings
• prepare the relevant board packs, annexes, agendas, proxies, etc.
• draft and review the minutes
• ensure a consistent and quality filling of the portfolio documentation
• assist in the preparation of various legal documents resolutions, asset transfers, corporate changes, distribution, capital calls, etc.
• arrange certification, notarization and legalization of documents
• handle kyc request by third parties
• be part of ad-hoc projects from time to time

• A minimum of 4 years’ experience in a similar role (paralegal / Company Secretary
• Fluent English is mandatory, good level of French and / or German is a solid asset
• Excellent organisational skills
• Very good communication skills
• Good command of Microsoft suite, especially Word and PowerPoint.
