Our client

We are very happy to help our client with the search for a Senior Legal Officer. Their Luxembourg management company is authorised by the Commission de Surveillance du Secteur Financier (CSSF) to act as a UCITS ManCo and Alternative Investment Fund Manager (AIFM). They support Luxembourg-domiciled UCITS and AIFs with their regulatory and operational requirements. They are part of one of the largest providers of Independent Authorised Fund Managers and third-party Management Company (ManCo) services in Europe. You will be joining their +/-20 people office and working in a team of 3. You will interact with Conducting Officers, the company’s business units, and EMEA or Group interaction level if any, as well as the broader company’s teams in Ireland and in the UK. Their core business: 90% UCITS, 10% PE/RE (for the moment).

Your role

As a Senior Legal Officer, you will support the team in providing support directly or by liaising with the Funds’ external legal advisers on the following tasks:

  • Corporate services: monitoring of the Funds corporate calendars to ensure Funds’ compliance with their corporate and regulatory duties (i.e. holding regular Board of Directors meetings, regulatory reporting, AGM convening);
  • Funds structuring: coordination of the Prospectus amendments with external Law firms and other stakeholders (incl. the CSSF);
  • Agreements and contractual arrangements: Drafting, reviewing, and negotiating legal documents including financial services contracts, and legal publications for both UCITS and alternative fund structures.
  • Fund’s notification and registration:
  • Regulatory and Legal survey: Monitoring and reviewing new laws, regulations, and market practices that may impact the company and its business.
  • General legal support to the Lux teams.
  • While performing these tasks, you will also aim to produce relevant studies with regard to any legal topics impacting the Lux Teams.

Your profile

  • A degree in legal with an ideal of 5-7 years of relevant experience minimum in a similar role and environment.
  • A very good knowledge of broader financial markets and investment products
  • Demonstrate excellent analytical and synthetic skills
  • Ideally knowledge of Efile and EDesk;
  • Fluency in English, ideally French will be a great plus.
  • A great motivation and capacity for development, a team player with excellent communication skills
  • Flexible, ability to prioritise, good problem-solving skills, positive mindset, and willingness to learn
  • Excellent MS office suite knowledge (Word, PowerPoint, and Excel)
