The Company Secretariat Officer is responsible for supporting the Group Company Secretariat Manager and the Group General Counsel with various board governance and business governance related matters.

Your role – Are you ready for a challenge?

 The Company Secretariat Officer is accountable for:

  • Providing service support to the Group Company Secretariat Manager and to the Group General Counsel and Company Secretary;
  • Supporting with the coordination and logistics for the Board and Committees meetings;
  • Preparing the minutes and resolutions of the Board/Committees meetings, as required;
  • Maintaining the action logs from the meetings;
  • Maintaining and updating the signature lists and supportive documentation for the Luxembourg Head Office and the Branches;
  • Liaising with various departments (including external parties when/as needed) for corporate-related KYC matters Liaising with external providers (where applicable) for CoSec-related activities;
  • Filings on the Luxembourg Trade and Companies Register;
  • Corporate record-keeping;
  • Risk champion/deputy role;
  • Other CoSec-related activities as needed from time to time (e.g. annual corporate insurance renewal and maintenance of the corporate insurance log)

Required

  • Law graduate
  • 1-3/5 years of relevant company secretarial experience, preferably in Luxembourg
  • Strong organisational skills
  • Positive, diligent attitude and willingness to learn
  • Good communication skills and ability to act proactively
  • Teamwork oriented
  • IT skills (Office)
  • Fluent in English; French is a strong asset

  • Technical skills (for example corporate law, insurance law, etc.)
  • Soft skills (presentation skills, etc.)
  • Trainings and Certifications
