The team

The General Counsel and Company Secretary Office is a multi-talented team with a variety of skills across legal, governance, compliance, risk management and insurance. This Office includes the Legal & Compliance Group shared function team, the risk and insurance team, both based in London and the Director of Corporate Governance based in Munich. We work in close interaction with the Global Legal and GRC team spread across our regional business in South East Asia, Australia, and Latin America. Our shared purpose is to ensure the Management Board of the Company is set up for success and can concentrate on all the strategic matters. To join our team we are looking for a Corporate Paralegal to work full time to be based in Luxembourg. 

Scope of role

As Corporate Paralegal you will report to the General Counsel & Company Secretary and work closely with the Legal & GRC team providing paralegal and legal administrative support on ongoing and specific projects across the areas set out below.

  • Support on a broad range of Corporate transactions and compliance matters.
  • Responsible for record keeping of all legal entities of the Group in Luxembourg, Germany and UK.
  • Coordination and management of Supervisory Board meetings: scheduling, coordinating travel arrangements with the EA to the Board, agenda planning, compiling meeting papers and running the organisation of meetings and assisting with follow up on board/committee meeting actions.
  • Drafting legal documents, support and coordination of the Annual General Meeting of shareholders of the Company in Luxembourg
  • First point of contact for inbound queries to Company Secretary from internal and external stakeholders (e.g. Regulators in Luxembourg and Germany, ESG rating agencies, investor relations team in London, legal regional teams, etc  
  • Coordination of auditors queries, KYC queries and queries from the business in relation to GFG entities in Luxembourg, the UK and Germany. Arranging notarisation and apostilles
  • Maintaining and updating the legal hub and the legal and company secretary GDrive, and management of legal and compliance platforms such as BoardVantage (Nasdaq), Blueprint, Kissflow and Navex.
  • Luxembourg office representative, working closely with the Group Shared Functions (Legal and Finance) in London and Germany. 

What it takes

  • Significant experience gained as a paralegal in a corporate legal environment
  • Strong understanding of corporate law and compliance, experience in a listed company and-or in a law firm is an advantage.
  • Self-starter mentality, ability to work independently and as part of a team. 
  • Experience in project management and ability to manage multiple projects simultaneously
  • Highest level of integrity and discretion and confidentiality handling sensitive matters
  • Problem solver with an understanding of how to manage urgent matters and competing priorities 
  • Solid experience in Google docs and/or MS Office
  • Business English and ability to communicate with people at all levels
