Scope and Responsibilities 

The Paralegal/Company Secretary will be a member of our global legal department embedded in the Luxembourg legal team.  He/She will mainly work with a group of LA based attorneys, paralegals and legal assistants on matters related to the formation and closings of investment funds, investments made by the funds, review and negotiation of various agreements related to corporate and fund activities, provide support to business groups and other corporate matters. 

Responsibilities will include:

  • Assisting attorneys in setting up and closing investment funds, including reviewing subscription agreements and client account questionnaires for accuracy and completeness; maintaining an on-line database for fund documents; obtaining documentary requirements from investors, reviewing “world sky” requirements with legal counsel, compiling closing documents and other fund closing related matters
  • Responding to “know your customer” requests from Oaktree counterparties and collecting documents in connection with such requests and deal related matters
  • Assisting with U.S. and non-U.S. regulatory filings and document production for legal proceedings
  • Handling corporate and fund-related responsibilities that may include maintaining standing signature resolutions, assisting in legal entity formation and maintenance, assisting in private placement compliance in non-U.S. jurisdictions and supporting other legal personnel with respect to process and procedure improvements
  • Drafting, reviewing, and negotiating certain documents, including confidentiality agreements, access letters, service provider and vendor agreements and fund transfer documents
  • Collaborating with and providing backup support for other team members, as necessary; and other matters in connection with special projects that arise from time to time.

Experience required

  • 4+ year’s Paralegal or Corporate Secretarial experience. Working in the investment management industry or in fund administration
  • Experience in fund formation required
  • Strong negotiation and communication skills
  • Fluent in English (verbal/written) on a business level is a must 
  • Careful reviewer of documentation
  • Outstanding analytic and organizational skills

 Bachelor’s degree

 Paralegal, ICSA, CGI or ILA certification a plus
