We are looking for a proactive and experienced Legal & Compliance Manager to join our team. Based in Luxembourg you’ll be part of a young, dynamic and professional team, working alongside colleagues from all over the world. You’ll report to the General Counsel who is based in Amsterdam and you will collaborate with colleagues across the business to build an effective, professional and engaged team designed to ensure the legal & compliance operations of the business run smoothly. 

The right candidate is a high-quality manager and a team player with not only the experience, drive and discipline to handle the day to day, but the ambition to develop a high functioning and professional team and successfully lead the operations of the legal & compliance function based in Luxembourg.

Responsibilities

The roles and responsibilities of the legal & compliance manager include, but are not limited to, the following:

  • Lead the legal & compliance team by overseeing the tasks of a team of corporate officers and Legal Administrators  and providing guidance and direction
  • Suggest, plan and implement operational efficiencies and processes to ensure the smooth running of the function
  • Ensures that the legal and compliance team successfully:
    • organises board meetings, shareholder resolutions and other approvals when relevant
    • approves and files the annual accounts
    • approves and signs all relevant documentation correctly including leases, commercial contracts and appointment and engagement letters
    • drafts all relevant internal financing documentation
  • Supervise the organisation of the approval of the financial statements and filing at the Trade and Companies Register
  • Help to maintain the company database and assist in overseeing the digital archiving and editing processes
  • Organise the review of legal and corporate documents to be signed by the Directors and collection of the required signature(s)
  • Track and monitor the accuracy of legal documents (signature, date, corporate details etc.)
  • Work closely with the General Counsel to ensure the smooth running of the team, its development and high engagement
  • Organise and attend regular catch up meetings with the corporate officers and provide regular reports informing of the operation and progress of the Legal and Compliance team
  • Ensure continuous collaboration with other departments (e.g., Transaction, Accounting teams, ….) to ensure smooth and timely running of operations
  • Liaise with Investment Accounting, acquisition teams, wider Legal teams for transparency of information, organisation and resulting legal responses of projects and companies
  • Initiate and lead process and tools improvement project
  • Organise and supervise the training and development plans of the team

Responsibilities 

  • At least 10 years’ professional experience in the legal and compliance space in Luxembourg
  • At least 4-6 years in a legal team managerial position with a demonstrated ability to develop and inspire staff
  • University degree in a relevant field
  • A sound knowledge of the corporate governance framework in Luxembourg
  • Experienced in legal operations process improvement, knowledge and document management
  • Experience in the real estate sector beneficial
  • Ability to build close and strong relationships with internal and external stakeholders to drive legal operations priorities and projects
  • A team player with the ability to work independently whilst also thinking about what’s best for the team.
  • Comfortable communicating up and down the business, and able to explain concepts to colleagues with other fields of expertise. 
  • Ability to make independent decisions
  • Resourceful individual with demonstrated ability to work in an organized and productive way in a very fast-paced environment
  • Strong business acumen in order to understand, prioritize, and act on requests received
  • Excellent oral and written communication English skills
