Corporate Governance Specialist (m/f/d)

We’re looking for a proactive and detail-driven Corporate Governance Specialist to help shape and strengthen our multi-jurisdictional governance frameworks across Luxembourg and Europe. In this pivotal role, you’ll drive best-in-class governance and board management practices, navigating complex regulatory landscapes and collaborating across teams in a fast-paced, high-impact environment.

You will:

  • Manage governance processes across entities, including preparing board materials, minute-taking, and maintaining accurate documentation in line with Luxembourg corporate law and governance codes
  • Liaise with regulatory bodies, domiciliation agents, auditors, and legal counsel to ensure compliance with all regulatory and reporting obligations
  • Interpret and apply Luxembourg laws (e.g., Law of 10 August 1915), EU directives, and guidance from CSSF, AED, and ALFI to support compliance across multiple entities
  • Maintain and enhance governance frameworks to ensure all entities meet statutory and regulatory requirements
  • Collaborate with compliance, finance, and executive teams to drive effective governance and cross-functional alignment
  • Oversee multiple boards and legal entities, prioritizing tasks to meet deadlines and uphold high standards

The next Moonfarian:

  • 1–2 years’ experience in corporate governance or legal/governance advisory
  • Bachelor’s degree in Law or related field; LLM or ICSA/CGI qualifications and knowledge of AIFMD, MiFID II, GDPR, and AML regulations are a plus
  • Fluent in English; German and/or French a plus
  • Solid understanding of Luxembourg corporate law, governance codes, and regulatory frameworks
  • Familiar with corporate registries (e.g., Luxembourg RCS, RBE, German commercial register)
  • Proven experience supporting board and committee processes, including materials preparation and minute-taking
  • Skilled in engaging with regulators, auditors, legal counsel, and service providers
  • Proficient in Microsoft Office (Word, Excel, PowerPoint) and comfortable preparing board packs and presentations
  • Excellent attention to detail, organisational skills, and ability to manage competing priorities
