Key responsibilities:

  • Management of the legal, corporate and compliance matters of a portfolio of Special Purpose Vehicles (“SPVs”), under the supervision of a manager / team leader.
  • In charge of the coordination of transaction closings;
  • Reviewing legal transaction documents;
  • Draft and negotiation of CSC service agreements;
  • Assisting with onboarding of the client companies domiciled with and /or managed by CSC, including AML and anti-terrorism financing (including review of onboarding files and acceptance of new transactions on a risk based approach);
  • Drafting minutes of Board of Directors meetings and shareholders’ meetings;
  • In charge of legal and corporate matters related to  liquidation of companies;
  • Liaising with clients, advisors, notaries, banks, auditors, liquidators and with other CSC Group Companies;
  • Keeping up-to-date with regulatory requirements and coordinating implementation within the team;
  • Completing timesheets accurately and timely and review timesheets of team members.

What technical skills, experience and qualifications do you need?

  • More than 3 years of experience in a legal and / or corporate roles at a corporate service provider, a law firm, a consulting company a bank or another financial institution. 
  • Master's degree in corporate or commercial Law or equivalent.
  • Knowledge of corporate and financial law. Knowledge of Capital markets and securitization is a plus.

  • Conscientious and diligent, with high attention to detail.
  • excellent interpersonal, client, team management and communication skills.
  • Fluent in English both written and spoken. German would be an advantage; any other European language is a plus.
