About the Role

We're looking for a **Funds Lawyer** to join our growing Legal team and support Titanbay's expanding Luxembourg fund platform, including our RAIFs, UCI Part II vehicles and AIFs. This is a great opportunity for a Luxembourg funds lawyer who has built a strong foundation in fund formation work at a Luxembourg law firm and is ready to move in-house.

You'll work closely with our Senior Legal Counsel and Group General Counsel, as well as Compliance, Fund Operations and Investment teams, taking ownership of discrete Luxembourg fund formation and structuring workstreams while building towards greater autonomy as Titanbay's Luxembourg presence grows.

What You'll Be Responsible For

  • Supporting the formation, structuring, and ongoing operation of Titanbay's Luxembourg fund vehicles, including RAIFs, UCI Part II funds, AIFs and SCSp structures.
  • Assisting with CSSF filings, notifications, and day-to-day regulatory correspondence, working closely with more senior Luxembourg legal colleagues.
  • Drafting and reviewing fund documentation, including issuing documents/PPMs, limited partnership agreements, and subscription agreements.
  • Supporting side letter negotiation and MFN administration for Luxembourg vehicles.
  • Helping ensure fund structures comply with Luxembourg and EU regulatory requirements, including AIFMD, CSSF circulars, and ESMA guidance.
  • Reviewing and negotiating service provider agreements — including AIFM, administration, depositary and distribution agreements — specific to the Luxembourg market.
  • Supporting cross-border distribution and marketing notifications, including AIFMD passporting and NPPR.
  • Assisting with legal due diligence on Luxembourg fund structures, including due diligence reports and investor comments memos.
  • Supporting corporate actions and company secretarial matters for Luxembourg entities, including board support and minute-taking.

What We're Looking For

  • Luxembourg-qualified lawyer (avocat à la Cour) or common law equivalent, with 6–8 years' PQE in investment funds — private markets/alternative investment fund experience essential.
  • Genuine, hands-on Luxembourg law firm experience in fund formation and investment funds work, especially AIFs, alongside exposure to Luxembourg fund vehicles such as RAIFs, SCSps and/or UCI Part II funds.
  • Good working knowledge of AIFMD, CSSF regulatory requirements and ESMA guidance; some direct CSSF exposure is a strong plus.
  • Strong drafting skills and a track record of owning discrete fund formation workstreams.
  • Comfortable working closely with more senior Luxembourg-focused colleagues while building towards greater autonomy over time.
  • Collaborative and communicative, able to work across functions, jurisdictions and time zones with a UK/Ireland-based leadership team.
  • Curious about technology and open to using modern tools, including AI, to work more efficiently; you don't need to be technical, but you'll thrive here if you're excited about how technology can help build a smarter legal function.
