Position Summary

The company is seeking a Junior Legal Assistant in its Real Assets department in its Luxembourg office to co-ordinate the day-to-day administration of the Luxembourg companies in compliance with legal requirements and to provide support to the deal teams and fund management at the various stages of the investments.

Responsibilities

Legal tasks (25%)

  • Prepare relevant legal transaction documentation relating to the companies’ life cycle (acquisition, holding period, divestment)
  • Prepare contracts, agreements, reports or review of such documents
  • Prepare corporate documents such as board minutes and proxies related to the investments
  • Liaise with stakeholders, including lawyers and notaries

Support corporate bodies (25%)

  • Shareholders: draft the documentation for shareholders’ general meetings (annual, ordinary and extraordinary) - convening notices, proxies, minutes, filing with the Luxembourg trade and companies register
  • Board of Managers: assist with/handle the preparation of quarterly board meetings held in Luxembourg, in particular write up the minutes and present the board session
  • Draft resolutions of the Board of Managers and of the Shareholders when requested
  • Provide support to the board members regarding the details of the transactions, background of the legal documents to be signed, legal validity of the documents/transactions

Support to the deal teams (25%)

  • Prepare corporate documents such as board minutes and proxies related to the investments
  • Review of engagement letters and letters of interest submitted by the deal teams

Administrative tasks (25%)

  • Handle KYC requests received from various stakeholders with the KYC Team and the paralegal
  • Ensure AML/CFT compliance under the supervision of the Manager/AVP/VP
  • Supervise the relevant changes and accounts filings submitted to the Luxembourg trade and companies register by the paralegal
  • Prepare the updated shareholders’, RBE’s and instruments’ registers prepared by the executive assistant/ paralegal /service providers /contractors
  • Update the internal database
  • Coordinate the execution of the documents prepared by the legal team, or provided by the deal teams/lawyers etc. with the executive assistant
  • Supervise notarizations and apostille
  • Update the custodian / auditor sharefile
  • Ensure appropriate filing (electronic and physical, including share file) done by the executive assistant

Qualifications

Education & Certificates

  • Degree in Law

Professional Experience

  • Excellent knowledge and understanding of Luxembourg corporate Law
  • Eager to learn about or basic knowledge of private equity and real estate investment structures, of their legal and administrative requirements and day to day business
  • Recently graduated from law school
  • Admission to a european bar or obtention of CCDL is a plus
  • Maximum of 1 to 2 years of relevant experience at entry-level positions in a law firm or corporate legal department are welcome
  • Fluent in English
  • German or French is a plus
  • Good office skills (Excel, Word, Adobe, Outlook
