Our team is looking for a new talent (m/f/d), starting at the earliest possible time as Director Legal and Compliance (m/f/d) on site in Hosingen, Luxembourg.

How you’ll add value

We are looking for an experienced Director Legal and Compliance (m/f/d) to join our team. You will bring your expertise to provide high quality legal and commercial advice across the business, including being responsible for managing the compliance activity across the business (e.g. anti-corruption, sanctions and export controls etc). The Director Legal and Compliance (m/f/d) drives compliance efforts throughout the organization to be effective and is supporting the company by providing advice to executives and employees on all legal matters.

What you’ll do

  • Draft and negotiate various agreement including agency, distributor, consultant, NDA, MOU, development agreements, and any type of contracts as well as other legal documents to ensure the company’s full legal rights.
  • Review and prepare standard corporate legal documentation (e.g. shareholders resolutions, board resolutions, convening notices, powers of attorneys etc).
  • Give accurate and timely counsel to management team and employee in a variety of legal topics (IP, corporate, commercial, contract law, Medical device regulation etc).
  • Manage patents and trademarks to protect the company innovation actions against competition.
  • Ensure compliance with applicable laws and regulations and monitor changes in the legal landscape to anticipate potential impacts on the company.
  • Research and evaluate different risk factors regarding business decisions and implement solutions that will eliminate or mitigate risks across the company.
  • Manage and implement the compliance policies and controls (e.g. anti-corruption, sanctions and export controls, GDPR etc); provides ethics and compliance guidance to the management and employees; review and monitor activities; investigate matters related to compliance issues; develop, assess, and implement compliance training on FCPA, data privacy and other legal matters; develop and support business conduct and audits; monitor sanctioned country lists and international sanctions.
  • Liaise with, and manage the relationship with, external lawyers to obtain appropriate legal advice and counsel as required
  • Manage and mentor a team of 3 professionals, providing guidance and support.

What you’ll bring

  • Master of Laws or equivalent degree from an accredited law school.
  • Active license to practice law in the relevant jurisdiction would be a plus.
  • Minimum of 10 years of experience in a legal leadership role, preferably in a commercial setting.
  • In-depth knowledge of contract law, regulatory compliance, and other relevant areas of law.
  • Proven track record in managing legal operations, including contract negotiation and compliance management
  • Be pragmatic with a problem solving mindset
  • Develop and translate strategies and plans into action to respond to a rapidly changing business environment
  • Strong leadership, organizational, and decision-making skills.
  • Demonstrated ability to create legal and compliance defensive or proactive strategies
  • Ability to set priorities, take decisions and meet challenging deadlines
  • Strong service orientation and ability to work as part of a team
  • Self-directed, hands-on with initiative
  • Excellent oral and written communication skills.
