What you can expect

The Luxembourg Legal Counsel and Head of Corporate Governance will play a crucial role in overseeing and enhancing the corporate governance framework of the ROSEN Group. She/he will be responsible for ensuring that the ROSEN Group complies with all governance requirements, while fostering a culture of transparency, accountability, and ethical decision-making at all levels. She/He will report directly to the General counsel and Luxembourg Managing director of the ROSEN Group.

Key Responsibilities:

  • Lead, advise and support the corporate governance/legal aspects of ROSEN’s internal (re)structuring as well as acquisitions.
  • Act a Luxembourg corporate and legal expert/counsel
  • Work closely with legal, finance, and regulatory teams to ensure all filings, reporting, and disclosures meet legal and regulatory standards
  • Facilitate ROSEN’s effective board operations, including setting agendas, and ensuring proper documentation of meetings
  • Advise and support ROSEN’s board of directors and its committees on governance matters, ensuring effective board processes and strategic planning
  • Ensure ROSEN’s shareholder engagement practices align with corporate governance best practices
  • Oversee compliance with local and international governance standards of all ROSEN’s group subsidiaries, as well as applicable Luxembourg’s legal requirements and international regulations (including stock exchange listing standards)
  • Collaborate across various business units to promote a unified approach to governance practices

What you will bring

  • Education & Experience: Hold a master’s degree in law with 7 to 10 years of experience in corporate governance, corporate & M&A matters, or a similar field, ideally with experience as in-house corporate governance lead, as well as in an international law firm and/or Big Four
  • Expertise: In-depth knowledge of Luxembourg corporate law, as well as EU and international corporate law and governance best practices
  • Skills:
    • Strong leadership and organizational skills with the ability to manage cross-functional teams
    • Excellent communication and negotiation skills
    • Fluent in English and ideally in French and or German, both written and spoken
  • High ethical standards and integrity
  • Strong adaptability, collaboration, and resilience
  • Robust decision-making abilities and judgment
  • Strategic and proactive approach to problem-solving
