Fund related responsabilities

Update of Fund legal documentation

  • Amendment of prospectus, PRIIP KID and related documents
  • Liaising with the CSSF for the approval and visa procedure and prepare relevant shareholders’ mailing (running the address files, quantities and languages) and liaise with service providers accordingly
  • If needed, liaising with Luxembourg counsel with respect to the update of fund legal documentation
  • Run the liquidation process of a compartment with the CSSF and liaise internally, with the CSSF and with service providers accordingly (preparation of legal documentation, publications…)
  • Ensuring that the latest version of fund legal documentation is uploaded on the AB external website

Foreign Registration of funds/portfolios 

  • UCITS IV/AIFMD passporting process
  • Liaising with foreign counsels to ensure the update of existing registrations with foreign regulator

Sub-Custodian Account Opening/ Tax reclaim relating to funds’ investments

  • Coordinating with custodian regarding documents preparation for accounts opening and tax reclaims
  • Review and execution of the  documentation requiring notarization and/or legalization through notaries and embassies

Annual Extraordinary General Meeting of the Luxembourg based UCITS SICAVs

  • Drafting of the documents (notice and proxy) and coordination of the relevant translations
  • Preparation of the mailing to shareholders, publications in the Official Gazette and newspapers
  • Vote casting and preparation of the attendance list according to the proxies received
  • Drafting of the AGM minutes

Quarterly board meetings of UCITS SICAVs / AIFs

  • Drafting of the documents (notice and proxy) and coordination with board members
  • Review of the board meeting minutes

Management company/aifm related responsabilities

Meeting of the Board of Managers

  • Coordination of all necessary arrangements for the organization of meetings in our premises (quarterly basis)
  • Review of the minutes of the Board of Managers meeting

Executive Committee Meeting

  • Coordination of all necessary arrangements for the organization of the executive committee meetings (monthly basis)
  • Review the minutes of the executive committee meeting

Drafting of circular resolutions

  • Drafting of standard circular resolutions
  • Following up the execution of such circular resolutions


  • Review and approval of service providers’ invoices

Job specifications

  • Be highly organized, efficient and professional and be able to work to deadlines autonomously
  • Discretion, flexibility and rigor are required
  • Strong sense of professional responsibility
  • Problem solving skills and attention to detail
  • Have a high level of computer skills and in particular have a good knowledge of MS Word, PowerPoint, Excel
  • Able to work with a minimum of supervision
  • Able to delegate tasks to the administrative assistant as needed and supervise
  • Be fluent in English is mandatory (written and spoken) as the candidate will have to communicate with contact persons based in different countries
  • Having a transfer agency experience would be a plus
