TerraSpark is Europe’s answer to Space-Based Solar Power (SBSP). Our mission: deliver clean, resilient energy from orbit—initially sending power where today’s grids can’t: remote industries, island nations, disaster zones, and eventually, global energy coverage.

Focus: TerraSpark is building Space-Based Solar Power, and the legal entity behind that ambition needs the same care as the hardware. As Corporate Paralegal you keep the lightweight legal work that quietly compounds into chaos if nobody owns it firmly owned: incorporations, NDAs, resolutions, registers, filings, and the cap table. This is not a lawyer role. You handle everything that does not require a bar admission, work alongside external counsel on the heavy matters (financings, IP strategy, regulatory), and sit close to the founders. Luxembourg corporate law is the backdrop, space and energy markets are the context, and "we have never done this before" is a normal Tuesday. If you like being the person who makes a ten-person deep-tech startup look like it has a fifty-person back office, read on.

What you'll do:

Incorporate and maintain entities (we will spawn a few), keeping registers, RCS filings, and corporate records current so nothing lapses on a missed deadline
Draft, review, and redline mutual and one-way NDAs against our playbook, escalating only the genuinely unusual terms
Prepare shareholder resolutions, board minutes, powers of attorney, and written resolutions of the Board of Managers, then route them for signature and file them
Own the cap table and corporate registers, keeping ownership, share issuances, and option grants accurate
Handle lightweight contracts: service agreements, consultancy contracts, supplier terms, and the steady stream of "can you just look at this" documents
Run the e-signature process and keep the document repository organised so you know where everything is before anyone asks
Package matters cleanly for external counsel when they are genuinely needed, so the legal budget goes on judgement, not formatting
Track filing deadlines and maintain corporate calendars so due diligence is boring
Manage immigration and visa logistics, either directly or via specialist agencies, for fast, frictionless team processing

What you bring:

A paralegal qualification, a non-bar-admitted law background (a juriste profile is perfect), or equivalent hands-on corporate legal experience of at least 5 years
A track record running corporate housekeeping (incorporations, resolutions, registers, NDAs) fast without breaking things
Comfort with Luxembourg corporate law, or the appetite and aptitude to get there quickly, including RCS filings and notary processes (and the same for other jurisdictions we incorporate in)
Sharp drafting: you write cleanly, spot the clause that matters, and know boilerplate from work that needs a real lawyer
Fluent English. French and/or German are a strong plus given the local filing and notary reality
Startup temperament: organised enough to own deadlines unsupervised, relaxed enough to handle "we have never done this before" without flinching
