Bonn Steichen & Partners in the Pre-IPO sale of shares of Adyen by Pentavest

The team led by Jean Steffen, Partner at Bonn Steichen & Partners, and composed of Marie- Claude Frank, Senior Counsel, and Caroline Michel, Junior Associate, has assisted Index Ventures, international venture capital firm investing in technology-enabled companies with a focus on e- commerce, fintech, mobility, gaming, infrastructure, and security, through its controlled company Pentavest S.à.r.l., in the sale of shares of Adyen N.V., an innovative online payments platform with 15 offices around the world, more than 650 employees and €108 billion in processed volume in 2017.

Our lawyers acted in the context of a pre-IPO minority shareholders sale of approximately Euro 1,500,000,000 worth of shares of Adyen N.V., corresponding to approximately 7% of Adyen’s share capital, through an accelerated bookbuild offering to institutional investors.

J.P. Morgan and Morgan Stanley acted as Joint Bookrunners for the Placement.

The IPO took place on Monday, 17th September 2018.

The minority shareholders involved in the sale do not include any of Adyen’s management board members or entities controlled or owned by them, Stichting Administratiekantoor Adyen, KDP Projects, Iconiq or any of Adyen's employees.

BSP assisted Index Ventures and Pentavest in the drafting of all corporate approvals, and in the distribution of the sale proceeds by Pentavest to its investors, via shares and CPEC redemptions.
