On behalf of an American Investment firm, we are currently looking for a Head of Company Secretariat.

Our client is an American Investment firm which operates in 5 countries. Among 150 professionals, 15 employees are based in Luxembourg. The company manages more than 13 billion dollars of alternative Investments. 

  • Guiding the chairman and board on their duties under the rules and regulations to which they are subject
     
  • Ensuring good information flows within the board and its committees and between senior management and non-executive directors, as well as facilitating induction and assisting with professional development as required
     
  • Developing and overseeing the systems that ensure that the company complies with all applicable codes, in addition to its legal and statutory requirements
     
  • Act as an advisor to the Board in monitoring changes in relevant legislation and the regulatory environment and taking action accordingly
     
  • Overseeing the day-to-day administration of the company, e.g. maintaining statutory books, including registers of members, directors and secretaries, organising board meetings and AGMs, preparing agendas and taking minutes
     
  • Participate to the different meeting and calls relating to the investment cycle in order to have a detailed view on the pipeline and the decisions to be taken at the level of the domiciled vehicles
     
  • Organise the Board meetings: plan agenda and  prepare board pack.
     
  • Be responsible for the maintenance of statutory registers, including shareholder and director registers and bank signatories
     
  • Process capital increases, decreases and other changes appropriately
     
  • Process incorporation/liquidation/naming of companies
     
  • Support and track the approval process of the financial accounts and provide reporting for the annual general shareholder meeting
     
  • Liaise with the external corporate services provider
     
  • Supervise a team of 3 collaborators
     
  • Assist with the performance review of third parties, providing company secretarial services to departmental entities

  • You have a legal educational background, a degree in law or in any relevant field; ideally you hold a company secretary qualification
     
  • You have between 5-10 years of experience in alternatives investment business and a detailed knowledge of the decision cycle, company administration and/or board governance; you are recognized as a corporate governance expert and keen to further develop your potential
     
  • You are familiar with clerical administration within a similar environment
     
  • You demonstrate the capacity to stay up to date on the legal requirements of the entities that you are advising
     
  • You are detail oriented and hold excellent legal writing skills
     
  • You have a proven ability to handle confidential information with the highest discretion
     
  • You are a proactive team player with the ability to work independently within tight deadlines and complete a set of tasks while managing multiple priorities
     
  • You are fluent in English with excellent writing skills, any other language is a plus

You will act as right hand to the Managing Director and legal Advisor to the Board of Directors, offering significant exposure and challenges
