Greenfield is pleased to be representing a leading global alternative investment manager, a value-oriented investor in private equity, credit and real estate. Due to growth, they are now looking for a lawyer to assist the team. The person will report directly to the senior legal counsel and among other tasks will be responsible for private equity, capital market and real estate transactions. This is a great opportunity as you will work in a team-based environment. This role will be suitable for someone who is willing to learn new skills and has the ability to grow. It is desirable that this candidate has experience working with both private equity groups, private and public companies on buy and sell side transactions.

• Private equity, capital market and real estate transactions: involvement on all the legal aspects, from set-up to liquidation (plus coordination with services providers, work with accounting and financial internal department).

• Review and drafting of agreements with services providers.

• Review, analysis and set up of funds structures.

• Drafting (minutes board, general shareholders meetings, notices…).

• Compliance and analysis in the light of the different regulations.

• Implementation of international structures around different sectors and investments of the portfolio companies 

• Supervise incorporation of new companies 

• Day-to-day advice and preparation of legal documentation in connection with the investment companies together with all other in-house transactions

• Transaction management for private equity deals focused on investments; including the coordination, analysis and advice from a legal point of view

• Ensuring that all regulatory requirements are met for all domiciled companies

• Support European deal teams at all stages of the investments from a Luxembourg perspective

• Qualified Lawyer – with 5 plus years financial services experience

• An excellent knowledge and understanding of Luxembourg corporate law 

• Knowledge private equity investment structures, of their legal and administrative requirements and day-to-day business required

• English fluency is a must. Ability to speak French is great advantage

• Will have a strong inclination towards the financial implications of legal transaction

• Experience coordinating with third-party investors, accountants and attorneys

• Strong organizational and communication skills
