Swiss Life Asset Managers Luxembourg is the domiciled European fund platform of Swiss Life Asset Managers. As a Chapter 15 Luxembourg management company, we manage UCITS funds as well as alternative investments.

The legal department advises the management of Swiss Life Asset Managers Luxembourg and supports its business teams on a vast range of legal, regulatory, contractual, and corporate matters. Swiss Life Asset Managers is an authorised UCITS management company, alternative investment fund manager and holds ancillary MIFID licenses. The legal department also assumes key responsibilities in the setting up of new investment funds and maintenance of existing structures. As such legal is in charge of coordinating filings with the Luxembourg regulator as well as the drafting, negotiation and/or review of fund documentation, agreements, side letters, marketing documentation etc.

To strengthen our team, we are hiring a motivated (Senior) Legal Advisor(f/m/d).

Responsibilities

Assuming prime responsibilities in fund (both UCITS and AIFs with a focus on UCITS) formation and maintenance on behalf of the Legal team
Review of SFDR related disclosures and publications. Any experience in relation to ESG / SFDR is considered to be an advantage.
Participation in preliminary fund structuring discussions to determine the most appropriate set up
Drafting or review of the legal documentation of the funds under management and amendments thereto
Review and negotiation of the delegation agreements and other agreements to be entered into with the relevant service providers (e.g. the depositary, investment advisor)
Liaising with external legal counsels
Liaising with the Luxembourg regulator in view of obtaining the necessary regulatory approvals
Assisting in the set-up, amendments, and liquidation of investment funds
Work closely with other colleagues to provide advice and support to them as well as to senior management on various issues relating to fund - and investment structures, as well as legal and regulatory requirements applicable to Swiss Life Asset Managers

Experience

Degree in law
At least 4 years of experience in fund laws and regulations gained either in a Luxembourg law firm or another management company
Interest and motivation to work in a fast growing medium-sized company
Communication, negotiation, and interpersonal skills
Critical thinking, ability to manage files on a day-to-day basis but with proper escalation to the head of department or other senior colleagues
Legal and technical language skills in English, German and/or French
Strong commercial awareness and ability to give pragmatic advice
Eager to learn and be part of a collaborating team
Accuracy, confidentiality and punctuality
Ability to prioritize and manage effectively multiple and complex tasks
