Corporate Legal Counsel (Luxembourg)

Company description :

Our client, a major player in Private Equity and Real Estate established in the US, Europe and Asia, is seeking to hire a Corporate Legal Counsel (m/f) for its Luxembourg office.

Function :

As a legal counsel based in Luxembourg, you will be responsible for assisting investors in international Corporate as well as banking and finance issues and transactions.

Your responsibilities will include:

• Supervise the legal team (3 paralegals and 1 administrative assistant);
• Draft and review all kind of corporate documentation for the incorporation of Luxembourg entities, including the KYC matter;
• Draft and review of all kind of documents within the corporate life of the Luxembourg companies (i.e. board of managers’ resolutions, shareholder resolutions, loans, financing, etc.);
• Draft and review of corporate documentation for liquidation of Luxembourg entities, including co-ordination of notary and lawyers’ meetings etc.;
• Review, comment and advice on contracts and agreements in connection with the investments of the Luxembourg entities and as needed and required also in the target regions (SPAs, STAs, all kind of financing documents, pledge agreements, etc.);
• Liaise with colleagues from the other offices worldwide;
• Assist in the set up and closing of transactions and review of transactional documents;
• Provide general legal advice to all departments of the Company;
• Liaise with external service providers like law firms, notaries, etc.;
• Ensure that the Company and its departments as well as its legal department are informed on a timely basis of changes to law, regulation, etc. which are relevant to the business and the companies;
• Ensure legal compliance standards in all the above-listed duties notably by ensuring the observance of internal risk policies and procedures.   

Searched profile :

• You are qualified as a lawyer from a renowned European university;
• You have at least 4 – 5 years experience in (Luxembourg) corporate law, as well as banking & finance, preferably within an international law firm;
• You are fluent in English and French. Each additional language (especially either Spanish or German) is considered as an asset;
• You are commercial and business-oriented, able to translate complex legal matters into understandable and practical advice;
• You are a team-player with excellent communication and interpersonal skills;
• You are an enthusiastic professional, with a positive can-do attitude.
